X-Fly Terms of Use

1. Introduction

These Terms of Use govern access to and use of the X-Fly web and mobile applications.

By accessing or using X-Fly, you agree to comply with these Terms.

2. Authorised Users Only

X-Fly is intended solely for individuals authorised by a customer organisation that has entered into a separate agreement governing use of the platform.

Access to X-Fly is restricted to authorised users with valid credentials supplied through the customer’s identity management system.

3. Relationship with Customer Agreements

Use of X-Fly is subject to the applicable agreement between VMLY&R KOL Insights & Digital Solutions Ltd and the relevant customer organisation.

If there is any conflict between these Terms and a customer agreement, the customer agreement will prevail.

4. User Responsibilities

Users must:

  • Use X-Fly only for legitimate business purposes;
  • Comply with applicable laws and regulations;
  • Maintain the confidentiality of access credentials;
  • Promptly report suspected unauthorised access;
  • Use the platform in accordance with instructions and policies provided by their organisation.

5. Prohibited Activities

  • Attempt to gain unauthorised access to the platform;
  • Interfere with platform operations or security controls;
  • Introduce malicious software or code;
  • Reverse engineer, decompile or attempt to discover source code except where permitted by law;
  • Use the platform in a manner that violates applicable law or third-party rights.

6. Intellectual Property

The X-Fly platform, including its software, interfaces, designs, trademarks and related materials, remains the property of VMLY&R KOL Insights & Digital Solutions Ltd and its licensors.

Nothing in these Terms transfers ownership of intellectual property rights to users or customer organisations except as expressly provided under separate customer agreements.

7. User Content

Any information, materials or content submitted to X-Fly remains subject to the applicable agreement between VMLY&R KOL Insights & Digital Solutions Ltd and the relevant customer organisation.

Users must ensure that they have appropriate rights and permissions for any content they submit through the platform.

8. Availability

We may update, modify, maintain or enhance X-Fly from time to time.

We do not guarantee uninterrupted availability of the platform and may temporarily suspend access for maintenance, security, operational or legal reasons.

9. Suspension and Termination

Access to X-Fly may be suspended or terminated if:

  • A user’s authorisation is removed by the customer organisation;
  • Use violates these Terms;
  • Suspension is required for security, legal or operational reasons.

10. Disclaimer

X-Fly is provided to authorised users as part of services contracted by their organisation.

Except to the extent prohibited by law, all warranties, representations and conditions not expressly stated are excluded.

11. Limitation of Liability

Any liability relating to the provision of X-Fly is governed by the applicable agreement between VMLY&R KOL Insights & Digital Solutions Ltd and the relevant customer organisation.

Nothing in these Terms excludes liability that cannot legally be excluded.

12. Privacy

Our collection and use of personal information is described in the X-Fly Privacy Policy available on this website.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, except where an applicable agreement between VMLY&R KOL Insights & Digital Solutions Ltd and the relevant customer organisation provides otherwise.
